General Business Conditions

We would like to keep our relationship with you as uncomplicated as possible. Therefore, we concentrate our terms of business on the most necessary points. No agreement, however good, can replace genuine trust between us.

§ 1. Applicability
These general business conditions underlie all training and consulting services as defined in writing and agreed upon by the client and Leading Skills. These services are performed by staff members within the specified period according to proper professional principles. The appointment of personnel delivering the agreed services remains with Leading Skills.

§ 2. Confidentiality
Leading Skills is obliged to treat all information about trade or business secrets of the client confidentially. On request, staff members of Leading Skills will sign a non-disclosure agreement for the client.

§ 3. Client’s Obligations
The contractor is obliged to play an active part supporting the coaching and consulting services of Leading Skills. In particular, the client arranges free of charge all requirements necessary for the proper performance of the service, specifically, to provide the staff members of Leading Skills with all information necessary for the performance of the services.

§ 4. Force Majeure
Incidents of force majeure hindering or preventing Leading Skills from performing their service entitle Leading Skills to postpone the performance of the obligation for the duration of hindrance, plus an appropriate extra time required for preparation.

§ 5. Default of Acceptance
If the client falls behind with the acceptance of the services or if the client omits or delays the obligation according to § 3, Leading Skills is entitled to demand the specified remuneration for the training and consulting service not performed on account of that omission or delay without being committed to further services. Leading Skill’s right to claim damages for resulting additional costs remains unaffected.

§ 6. Duration and Termination
The cancellation of a workshop or a group session up to four (4) weeks before the beginning of the event is free of charge for the client. In case of cancellation up to two (2) weeks before the beginning of the event, an amount of 50 percent of the specified fee will be charged. In case of a later cancellation the full specified price will be charged. The cancellation of an individual coaching session is free of charge up to two (2) weeks before the appointed date. In case of cancellation up to one (1) week before the session, an amount of 50 percent of the specified fee will be charged. In any case, the receipt of the client’s written statement of cancellation is decisive.

§ 7. Liability
For any damage which may arise from intentional or negligent breaches of contract or from fraudulent intent on the part of Leading Skills, their legal representatives or parties employed in performing the contractual obligation for whom the principal is liable, Leading Skills is liable according to the legal provisions. Also, Leading Skills is only liable for any damage which arises from simply negligent breach of all those contractual obligations whose fulfillment makes the regular implementation of the contract at all possible, and on whose compliance the client may normally rely. Liability for compensation will be limited to the foreseeable damage that may typically occur with the agreed services as long as Leading Skills, its legal representatives or agents have not acted deliberately. Irrespective of the legal nature of the claim lodged, any further extensive liability shall be ruled out.

§ 8. Jurisdiction
The place of jurisdiction is Cologne, Germany.
